3. Client Responsibilities
If you use the Services to send review requests or other communications to your own customers, you represent and warrant that: you have the legal right to use and share your customers' contact information for this purpose; you have obtained any consent required under applicable law, including the Telephone Consumer Protection Act (TCPA), CAN-SPAM Act, and applicable state privacy laws, before we send messages to your customers on your behalf; and the contact lists and content you provide do not violate any third party's rights or any applicable law. You agree to indemnify and hold ReviewSpot harmless from claims arising out of your failure to obtain proper consent or your misuse of the Services.
4. Subscriptions, Billing, and Cancellation
Access to the Services is provided on a subscription basis at the pricing communicated to you at signup. Subscriptions renew automatically each billing period unless canceled. You may cancel at any time; cancellation takes effect at the end of the current billing period, and we do not provide refunds for partial periods except where required by law or expressly stated in a separate written agreement. We reserve the right to change our pricing with reasonable advance notice.
5. Acceptable Use
You agree not to use the Services to: send unsolicited, misleading, or fraudulent messages; violate any applicable law, including messaging and privacy regulations; attempt to gain unauthorized access to our systems or other users' accounts; interfere with or disrupt the integrity or performance of the Services; or solicit, incentivize, or manipulate reviews in a way that violates the policies of Google or other review platforms.

The Services rely on third-party platforms (such as our CRM/automation provider, messaging carriers, and calendar tools) to operate. We are not responsible for outages, errors, or changes made by these third parties, though we will make reasonable efforts to maintain service continuity.
8. Disclaimers
The Services are provided "as is" and "as available," without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not guarantee any specific increase in reviews, ranking, or business outcomes.
9. Limitation of Liability
To the maximum extent permitted by law, ReviewSpot will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenue, arising out of or related to your use of the Services. Our total liability for any claim arising out of these Terms or the Services will not exceed the amount you paid us in the twelve (12) months preceding the claim.
10. Indemnification
You agree to indemnify and hold harmless ReviewSpot, its owners, and employees from any claims, damages, liabilities, and expenses (including reasonable attorneys' fees) arising out of your use of the Services or violation of these Terms.
11. Termination
We may suspend or terminate your access to the Services at any time for violation of these Terms or for any other reason, with or without notice. You may stop using the Services and cancel your subscription at any time as described in Section 4.
12. Governing Law
These Terms are governed by the laws of the State of North Carolina, without regard to conflict of law principles. Any disputes arising under these Terms will be resolved in the state or federal courts located in North Carolina, unless otherwise required by law.
